1. How we work together
A proposal, quotation, statement of work, or order confirmation that we issue and you accept is called a Project Agreement in these terms. It describes the services, deliverables, fees, and any project-specific arrangements.
Your acceptance of a Project Agreement creates a contract incorporating these Terms and Conditions. If the two documents conflict, the Project Agreement takes priority for that project. Changes to the agreed work must be confirmed by both parties in writing, including any change to fees or timing.
2. Services and timetable
We will provide the services described in the Project Agreement with reasonable care and skill. Any dates or milestones depend on receiving the information, materials, access, approvals, and payments we reasonably need from you on time.
We will tell you if a delay or issue is likely to affect the work and discuss a revised timetable. Work outside the agreed scope requires a separate quotation or written agreement.
3. Your responsibilities
You will provide accurate instructions and the materials and access reasonably needed for the project. You will review work and provide feedback or approvals within 7 business days, or within any period specified in the Project Agreement.
You confirm that you have the rights needed for us to use materials you supply, including text, images, trademarks, data, and software. You are responsible for checking the accuracy and legality of the content you ask us to publish, unless the Project Agreement expressly assigns that task to us.
4. Fees and payment
The Project Agreement sets out our fees, payment schedule, and any deposit. Fees are exclusive of applicable taxes. Third-party costs, such as hosting, domains, advertising spend, stock assets, fonts, software licences, and platform subscriptions, are payable by as specified in the Project Agreement.
Invoices are due within 14 days of issue. If an undisputed invoice remains unpaid, we may pause the affected work after giving you written notice and a reasonable opportunity to pay. Any late-payment interest or recovery costs will be charged only where permitted by applicable law and stated in the Project Agreement or otherwise recoverable by law.
If you dispute an invoice, tell us promptly which amount you dispute and why. You will pay any undisputed amount by its due date.
5. Feedback, revisions, and acceptance
The Project Agreement specifies the deliverables and any included rounds of revisions. A revision means a change to work within the agreed scope; a new feature, direction, or deliverable may require an additional fee and timetable.
When we submit a deliverable for review, you will identify any respects in which it does not meet the agreed specification within [number] business days. We will address verified issues within the agreed scope. Approval by email or other written confirmation constitutes acceptance of that deliverable. Silence alone does not constitute acceptance.
6. Intellectual property and licences
You retain ownership of materials you supply to us. You give us permission to use those materials as needed to perform the services.
Unless the Project Agreement says otherwise, once you have paid all amounts due for a deliverable, we assign to you the intellectual property rights we own in the final, approved deliverable created specifically for you. This assignment does not include our pre-existing materials, general methods, reusable code, tools, templates, or unused concepts. We grant you a perpetual, worldwide licence to use any of our pre-existing materials incorporated in the paid-for deliverable to the extent needed to use that deliverable for its intended purpose.
Third-party assets and software remain subject to their respective owners’ licence terms. We will identify any material third-party licences that you need to obtain or maintain.
We may display completed work in our portfolio and describe our role in it only with your permission, which you may give in the Project Agreement or separately in writing.
7. Websites, accounts, and third-party services
Where a project uses hosting providers, advertising platforms, domain registrars, payment providers, or other third-party services, their own terms and charges apply. The Project Agreement will identify who is responsible for opening, paying for, and maintaining those accounts.
Unless ongoing support is expressly included, responsibility for updates, backups, security monitoring, renewals, and maintenance after handover rests with you. We will provide any handover items listed in the Project Agreement.
We cannot guarantee search rankings, advertising results, sales, traffic, or the continuous availability of third-party platforms.
8. Confidentiality and personal data
Each party will use the other’s non-public business information only for the project and will take reasonable steps to protect it. This obligation does not apply to information that is public through no breach of these terms, was already lawfully known, is independently developed, or must be disclosed by law.
Each party will comply with applicable data protection law. If our work requires us to process personal data on your behalf, the parties will put an appropriate data processing agreement in place before that processing begins.
9. Cancellation and termination
Either party may end a Project Agreement by giving 7 days’ written notice, unless the Project Agreement provides a different cancellation arrangement. Either party may end it sooner if the other commits a material breach and does not remedy it within 5 days after receiving written notice describing the breach.
On termination, you will pay for work properly completed and non-cancellable third-party costs reasonably committed up to the termination date, less any amounts already paid. We will refund any prepaid amount for work we have not performed or costs we have not committed. We will provide completed, paid-for deliverables and reasonably cooperate with handover as described in the Project Agreement.
Any mandatory cancellation or refund rights you have under applicable law take priority over this section.
10. Liability
Neither party excludes or limits liability where doing so would be unlawful, including liability for fraud or for death or personal injury caused by negligence.
Subject to that rule, neither party is liable to the other for indirect or consequential loss. For a business Client, our total liability arising from a Project Agreement is limited to the total fees paid or payable under that Project Agreement, except for liabilities that cannot lawfully be limited. This cap does not reduce any rights a consumer has under applicable law.
11. Events outside reasonable control
Neither party is responsible for a delay caused by an event outside its reasonable control, provided it promptly informs the other party and takes reasonable steps to reduce the effect. Payment obligations for work already performed remain due. If the event continues for more than 5 days, either party may end the affected Project Agreement by written notice, with payment and refunds handled under section 9.
12. Notices and general terms
Notices under these terms should be sent to the email addresses stated in the Project Agreement, or to any replacement address notified in writing. A notice is treated as received when its recipient acknowledges it or, if sent on a business day without a delivery failure message, on the next business day.
Neither party may transfer its obligations under a Project Agreement without the other’s written consent, except as part of a sale or reorganisation of its business where the receiving party can perform those obligations.
If a provision cannot be enforced, the remaining provisions continue to apply. A delay in enforcing a right does not waive it. These terms and the Project Agreement form the agreement for the services and replace earlier discussions about the same work, without excluding liability for fraud or any right that cannot lawfully be excluded.
13. Governing law
These terms and each Project Agreement are governed by the laws of England and Wales . The courts of England and Wales will hear disputes, subject to any mandatory right a consumer has to bring proceedings elsewhere.
